Acceptance of Terms

Welcome to Halo Compass, provided by Halo Eye Inc. (“Halo”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, software, mobile applications, integration services, and any related technologies (collectively, the “Service”).

By accessing or using Halo Compass, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

1. Definitions

• “Service” refers to the Halo Compass platform, Halo Integration Agent, APIs, documentation, and associated tools.

• “User” or “you” refers to any individual or entity using the Service.

• “Customer Data” means all content, images, vehicle data, or information you upload or submit to the Service.

• “Authorized Third Parties” are systems or vendors you permit Halo to integrate with on your behalf.

2. Eligibility

To use Halo Compass, you must:

• Be at least 18 years old,

• Have the authority to enter into legally binding agreements, and

• Use the Service for legitimate business purposes.

3. License to Use the Service

Halo grants you a non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations in accordance with these Terms.

You may not:

• Reverse engineer, decompile, or disassemble the Service

• Copy, modify, or distribute any part of the Service

• Rent, lease, sublicense, or resell the Service

• Circumvent security or access controls

All rights not expressly granted are reserved by Halo Eye Inc.

4. Customer Data

You retain full ownership of all Customer Data you upload to Halo Compass.

By using the Service, you grant Halo a limited, worldwide, royalty-free license to host, process, display, analyze, and transmit Customer Data solely for:

• Delivering the Service

• Operating integrations

• Improving product performance

• Security and fraud prevention

Halo does not claim ownership of your data and does not use Customer Data for advertising or resale.

5. Integrations & the Halo Integration Agent

Halo Compass includes the Halo Integration Agent, which enables rapid connections (often within 48 hours) to authorized third-party systems using REST APIs or other secure interfaces.

You acknowledge that:

• Integrations require proper authorization from your third-party vendors.

• Halo is not liable for downtime or errors originating from third-party systems.

• You are responsible for ensuring you have the rights to connect those systems.

Halo does not access or modify external systems without explicit authorization.

6. Acceptable Use Policy

You agree not to:

• Upload unlawful, harmful, or infringing content

• Interfere with or disrupt the Service

• Attempt unauthorized access to systems or accounts

• Use Halo Compass for competitive research or benchmarking

• Upload malware, bots, or automated scripts intended to harm the Service

Violation may lead to suspension or termination of your account.

7. Intellectual Property

Halo Compass, including all software, designs, trademarks, logos, interfaces, and proprietary technologies, is the exclusive property of Halo Eye Inc.

You may not use Halo trademarks without written permission.

Customer Data remains your property.

All improvements, enhancements, and derivative works related to the Service remain Halo’s property.

8. Payments & Billing (if applicable)

If your use of the Service requires payment:

• Fees must be paid according to your subscription or commercial agreement

• Late payments may result in suspension of services

• All fees are non-refundable unless required by law

Taxes, if applicable, will be added to your invoice.

9. Termination

You may stop using the Service at any time.

Halo may suspend or terminate your account if you:

• Violate these Terms

• Misuse or abuse the platform

• Fail to pay fees owed

Upon termination:

• Your access to the Service will cease

• Customer Data will be handled according to our Data Retention Schedule in the Privacy Policy

• Certain sections (IP, Warranty, Liability, Governing Law) will continue to apply

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind.

Halo does not guarantee that:

• The Service will be uninterrupted, error-free, or secure

• Integrations will function continuously

• Vehicle images, metadata, or outputs will be suitable for legal or compliance use

You use the Service at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law:

• Halo Eye Inc. is not liable for indirect, incidental, consequential, punitive, or special damages

• Halo’s total liability for any claim is limited to the amount paid by you in the last 12 months preceding the claim

This section survives termination.

12. Indemnification

You agree to indemnify and hold Halo Eye Inc. harmless from any claims arising out of:

• Your misuse of the Service

• Your violations of these Terms

• Your integration with third-party systems

• Your uploaded content or Customer Data

13. International Use

You are responsible for ensuring compliance with local laws in your region.
Halo provides no assurance that the Service is appropriate or available in all jurisdictions.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts of Toronto, Ontario.

15. Changes to These Terms

We may update these Terms when required for legal, technical, or business reasons.
When updates occur, we will notify you via email or in-platform messaging.

Continued use of the Service constitutes acceptance of the updated Terms.
